Evertraffic is a platform specifically designed to connect buyers and sellers of passive revenue generating assets in a secure and anonymous manner, through auctions.
Sellers may submit their assets for auction and Buyers may bid on these auctions once their account meets the requirements set by Evertraffic and the Seller.
Transactions are set up once an auction concludes and meets the Reserve Price set by the Seller. Evertraffic initiates a transaction as a Broker on Escrow.com, this ensures a safe and anonymous transaction between the Buyer and Seller.
Section 1: Account creation
1.1 A prospective Buyer or Seller may apply for an account with Evertraffic. Applying for an account does not ensure that the application is accepted by Evertraffic. Evertraffic may reject or cancel any application without providing any details.
1.2 Accounts are subjected to a verification process. This may include, but is not necessarily limited to:
- payment verification through a third party payment provider
- videocalls
- ID checks
1.3 Evertraffic may subject existing accounts to additional verification processes.
1.4 Accounts may have or not have certain privileges such as the ability to create Listings, view hidden Listings and the ability to bid on any Listing. These privileges are subjected to levels of verification. Evertraffic may adjust these privileges for any account at any time.
Section 2: Auction cancellation
The Seller has the right to cancel an auction under the following conditions:
2.1.1 The specified reserve price remains unmet.
2.1.2 The auction is not scheduled to end within 24 hours.
2.2 The Seller is obligated to cancel an auction if legal actions initiated by a third party may impact the ownership of the domain. Such legal actions may include, but are not limited to, WIPO/UDRP cases or notices from legal representatives indicating an intent to pursue legal proceedings. The provision of evidence supporting such claims is mandatory and must be submitted to Evertraffic.
Section 3: Evertraffic's discretionary termination or suspension
Evertraffic may terminate or suspend an auction if:
3.1 The ownership or statistical data provided by the seller raises concerns;
3.2 The seller's account is terminated or suspended due to unfulfilled sales commitments;
3.3 The quality of traffic or statistics are adversely affected during the auction, such as in the event of a source going offline;
3.4 There are potential conflicts in ownership or legal rights to a domain.
Section 4: third-party offers
4.1 The receipt of an offer from a third party to acquire the domain outside of the auction, following the meeting of the reserve price, does not constitute a valid condition for canceling the auction;
4.2 In such instances as described under 3.1, the Seller is required to honor the result of the auction. The seller may introduce the prospective buyer to Evertraffic for the purpose of facilitating their participation in the auction. A dedicated account will be set up for the third-party buyer.
Section 5: account termination due to unhonoured sales
5.1 Any sales that are not honored by the buyer or seller without a valid reason will lead to account termination.
5.2 In the event of a buyer's failure to complete a transaction, the Seller may choose to offer the domain to the second-highest bidder or relist the domain for auction.
Section 6: transactions
6.1 All transactions resulting from an auction on Evertraffic will be concluded through Escrow.com;
6.2 Buyer and Seller transact directly with each other anonymously. Evertraffic will act as a Broker in the forthcoming transaction;
6.3 All communication between Buyer and Seller will be done through Evertraffic as an intermediary;
6.4 Transaction fees associated with Escrow.com are to be shared equally between the buyer and the seller, each covering 50% of the charges;
6.5 The seller is obligated to pay a platform commission (broker fee) amounting to a tiered percentage of the final sale price to Evertraffic through the designated broker fee within the Escrow transaction.
6.6 Evertraffic may adjust the platform commission (broker fee). Adjustments are only applied on new listings. Running auctions are not affected by commission adjustments. The commission as listed in the latest version of the Terms & Conditions at the time of the start of the Listing are applied.
6.7 The broker fee is calculated based on a percentage of a Listing’s final sale price and the following tiers:
$0 - $50,000 15% of the final sale price
$50,000 - $100,000 10% of the final sale price
$100,000 - $500,000 7.5% of the final sale price
$500,000+ 5% of the final sale price
Examples:
A final sale price of $8,000 would result in a total commission of $1,200.
A final sale price of $80,000 would result in a total commission of $10,500.
A final sale price of $800,000 would result in a total commission of $57,500.
Section 7: third party listings
7.1 Evertraffic reserves the right to decline any listings based on traffic origin, quality or nature. This includes, but is not limited to:
a. Domains with traffic derived from forwarded domains.
b. Domains with unidentifiable traffic sources.
c. Domains with traffic originating from illegal sources, including but not limited to exploitation, gore, scams, or illegal substances, are strictly prohibited from being listed.
7.2 Evertraffic will thoroughly verify all third party listings. This verification process may include but is not limited to:
a. Requiring seller to provide detailed traffic statistics with evidence such as screenshots and screen sharing videocalls;
b. Analyzing provided statistics with Evertraffic’s traffic estimation tools;
c. Contacting parking service providers to verify statistics;
d. Verifying ownership through nameserver record updates, whois details or email.
